I dont see apple watch on my iphone as my device and Tracking is OFF it says on Fitness app - watch
I need to fix it. would you help ?

The Fitness app is on the phone not the Watch.
I suggest you erase the Watch then set it up as a new watch.
If the phone is iPhone 8 or later, ensure the iphone is on iOS16.4 or later
- Erase the Watch completely. Put your watch on its charger and keep it there until you complete these steps. (select the watch OS version) Erase Apple Watch – Apple Support (UK)
- When pairing do not try to restore the backup, pair as a New Watch
